Phaunos Timber Fund.
Phaunos is a timberland fund, until recently listed on the main board of the London Stock Exchange.
Following a shareholder vote to wind-down the Company at the 2017 AGM, the asset manager and board subsequently resigned.
Reporting to a newly-convened, non-exec board, I was appointed to oversee the Company during the sale process and subsequent wind-down. I managed a small team of forestry professionals and finance staff in south America and the US, alongside a network of property managers, sales agents, legal, tax and accounting service providers spanning 11 countries.
After preparing the assets for sale and soliciting first round bids, Phaunos was the subject of a hostile take-over bid, defended under the terms of the UK Take-over Code, and eventually sold to the suitor, delivering a 24% return to shareholders over 12 months.
Under guidance from the board the following responsibilities fell under my purview:
Finance
- all internal and listed reporting, tax reporting and cashflow budgeting
- manage the treasury function
- oversee the audit function, interrogate valuation reports and draft the financial statements and published asset and directors' reports
Operations
- oversee all operational aspects of running a listed forestry company, including managing all staff, HR function and out-sourced relationships, SLA negotiations with suppliers, PI insurance, maintaining a website and IT infrastructure, investor circulars and asset budgeting
Compliance and regulatory
- maintain insider lists, workstreams, act as a document depositary, attend to RNS announcements, ensure adherence to Market Abuse Regulations and attendance of all regulatory filings
Asset sales
- managed the relationship and workflow with the sales agents, including populating datarooms, drafting and reviewing of teasers, investment memorandums and legal and commercial due diligence reports
- remediation of a long list of deficiencies identified in the DD phase, settling of several legal disputes in Brazil and China, shuttering businesses and closing down structures, preparing assets for sale, several asset ownership retructurings
- playing an integral role in the later hostile take-over defence
