• Completion of a $1 billion NY law leveraged buyout:
◦ English counsel to major US bank in relation to the preparation and delivery of the English law conditions precedent to the syndicated facility agreement relating to the buyout.
◦ Responsibilities included: drafting company search reports on the 30 English obligors for team; negotiating changes to the English obligors' articles of association; drafting and negotiating corporate authorisations and director's certificates in relation to the same.
• Structural change to €667m secured syndicated facilities agreement:
◦ Lead counsel to a portfolio company--and its subsidiaries in 13 different jurisdictions--of a top-tier sponsor in relation to the negotiation and documentation of a new facility B2 term loan and a financial covenant holiday in response to the COVID-19 pandemic.
◦ Responsibilities included: drafting certain sections of the primary finance documentation (including consent letters) and guarantee confirmation agreements; drafting the utilisation request; drafting and negotiating the corporate authorisations and director's certificates of the obligors; project management of the delivery of the other conditions precedent and conditions subsequent (including the execution of security confirmation agreements); and post-completion matters such as building the e-bible and arranging the delivery of perfection requirements under the security confirmation agreements.
